HOW TO ENTER: Eligible community managers (as defined below) may enter the Vitrue Community Manager of the Year Award 2012 (the “Contest”) sponsored by Vitrue, Inc. (“Sponsor”) by either nominating themselves or by a third party nominating them for the award. Nominations may be submitted online by following the instructions located at http://vitrue.com/community-manager-of-the-year or http://facebook.com/vitrue no later than September 14, 2012 at 11:59:59 PM Eastern Standard Time (“EST”). Eligible community managers must be entered in accordance with these Official Rules. No other method of entry will be accepted. Normal internet access and usage charges imposed by nominee’s or third party nominator’s online service provider may apply. No purchase is necessary to enter. A purchase will not increase chances of winning. A third party individual must obtain an eligible community manager’s permission prior to nominating them in this Contest. This Contest is in no way sponsored, endorsed or administered by, or associated with, Facebook. You are providing your information to Vitrue and not to Facebook.
ELIGIBILITY: An eligible community manager is someone who spends at least 50% of his/her average work day managing, creating content for, moderating, posting, and/or analyzing social streams for brands, companies, or organizations. Final determination of eligibility will be in Sponsor’s sole discretion. Contest is open to eligible community managers who are legal residents of the fifty (50) United States and the District of Columbia, Canada (excluding Quebec), Germany, or the United Kingdom, and who are 18 years of age or older at time of entry. Void in Quebec and where prohibited by law. Employees of Sponsor, its parents, affiliates and subsidiaries, participating advertising and promotion agencies and judges’ companies (and members of their immediate family and/or those living in the same of household of each) are not eligible. ALL NOMINEES ARE SUBJECT TO VERIFICATION BY SPONSOR. SPONSOR’S DECISIONS ARE FINAL AND BINDING. A NOMINEE IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL THE NOMINEE’S ELIGIBILITY HAS BEEN VERIFIED AND THE NOMINEE HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. SPONSOR IS NOT RESPONSIBLE FOR LOST, LATE, OR INCOMPLETE ENTRIES.
CONTEST PROCESS: The Contest will run from January 23, 2012 to January 23, 2013. Nominated eligible community managers verified by Sponsor (“Entrant(s)”) will receive a question and answer packet (“Q&A Packet”) that must be filled out and returned by October 1, 2012 at 11:59:59PM EST. Questions will consist of strategy, best practices, theories, opinions, real world scenarios, professional info, social marketing philosophy, “what would you do if” questions, and other questions. Sponsor will choose three (3) finalists (“Finalists”) by October 7, 2012 from all Entrants who completed the Q&A Packet by the given deadline based on the best answers to each question, in Sponsor’s sole and absolute discretion. Sponsor and Finalists will cooperate to create a 2-5 minute 2012 Community Manager of the Year Finalist Video produced by Sponsor (each a “Finalist Video”) for use in final judging. Sponsor will also provide Finalists with a real-world challenge to be completed with the results used in final judging. One (1) Grand Prize Winner will be chosen from the Finalists on January 23, 2013 by a combination comprised of 50% of fan and follower support as determined by voting on Sponsor’s Facebook page and 50% by Sponsor’s blue-ribbon panel of experts.
PRIZES AND APPROXIMATE RETAIL VALUE: All Entrants who completed the Q&A Packet by the given deadline will receive Vitrue’s Strategic Social Marketing Kit valued at approximately $50. Finalists chosen from the Entrants will receive airfare to, and three days/two nights of hotel accommodations in, Las Vegas, Nevada at a date yet to be determined within November of 2012, subject to the Trip Limitations set forth below, along with admission to the 2012 Vitrue School for the Socially Gifted Client Summit, including all associated meals, sessions and parties. Finalist prizes are valued at up to approximately $1,200 USD (1,199 CAD, as per final rate of exchange on February 23, 2012). The Grand Prize Winner will receive one (1) iPad or iPhone at Vitrue’s sole discretion, such as the most current model of this product on January 1st, 2013. ‘The prize winner will receive one (1) iPad (32GB black WiFi, non- cellular data) OR one (1) iPhone (32GB black unlocked and contract free) and one (1) 2012 Community Manager of the Year Trophy.
All prizes are awarded “AS IS” with no warranty, representation or guarantee, express or implied, in fact or in law, made by Sponsor or for which Sponsor shall be liable, including, without limitation, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. Prizes are nontransferable, nonassignable, nonnegotiable, and not redeemable for cash or credit. Prizes must be accepted as awarded. Prize winners must be present at the aforementioned prize award ceremony in order to collect a prize, unless Sponsor elects otherwise in its sole and absolute discretion. No prize substitutions, except by Sponsor, who reserves the right (but has no obligation) to substitute a prize (or a component thereof) with another prize of equal or greater value if any applicable prize (or a component thereof) is not available for any reason as determined by Sponsor in its sole and absolute discretion. All expenses not listed above are the responsibility of each respective Entrant. ALL TAXES, INCLUDING REPOSTING AND INCOME TAXES ARE THE SOLE RESPONSIBILITY OF EACH RESPECTIVE ENTRANT.
CONDITIONS OF PARTICIPATION: Entrants agree to be bound by the terms of these Official Rules and by the decisions of Sponsor, which are final and binding on all matters pertaining to the Contest. No transfer, assignment or substitution of a prize, except Sponsor reserves the right to substitute prize for an item of equal or greater value in the event an advertised prize is unavailable. All federal, state and local laws and regulations apply.
RETURN OF PRIZES: Return of any prize or prize notification as undeliverable, including declining the trip to Las Vegas, may, at Sponsor’s sole discretion, result in disqualification and selection of an alternate winner.
REQUIRED RELEASES AND DOCUMENTATION: Each Finalist must sign and return an Affidavit of Eligibility (or a Declaration if a Canadian resident), a liability release, including a release of Sponsor, its past and present partners, limited partners, parents, subsidiaries, affiliated entities, owners, entity owners (and the current and former officers, directors, shareholders, partners, members, limited partners, assigns and employees of any owners or entity owners), officers, directors, shareholders, members, contractors, successors, assigns and insurers (collectively, “Related Parties”) and, where legally permissible, a publicity release within seven (7) days following the date of first attempted notification. Finalists must also sign and return tax-related documentation and other documentation as required by Sponsor in its sole discretion within the same deadline described above. Finalists must also obtain their employer’s consent for their appearance in the Finalist Videos, for the use of their employer’s name and logo in said videos, and for the use of their employer’s name and logo in any other publicity relating to the Contest. Failure to comply with the above requirements may, at Sponsor’s sole and absolute discretion, result in forfeiture of the prize and selection of an alternate prize winner. Any failure to comply with the requirements of this section may result in disqualification at Sponsor’s sole and absolute discretion.
TRIP LIMITATIONS: If any Finalists reside within one hundred (100) miles of Las Vegas, Nevada, such Finalist will be responsible for their own round trip transportation and Finalist will receive $100 USD, paid by check, in lieu of air transportation. Sponsor will reimburse any Finalist for air transportation up to $300 USD, paid by check, in lieu of providing air transportation. All elements of the trip must be redeemed at the same time, and no changes will be permitted after confirmation of any redemption. Specific travel dates and arrangements are subject to air travel, holiday, blackout dates, and other prize and travel restrictions. Trip must be completed within the time specified under “Prizes and Approximate Retail Value.” Reservations are subject to availability. Trip must be booked at least fourteen (14) days prior to the 2012 Vitrue School for the Socially Gifted Client Summit. Travel dates are subject to Sponsors’ approval. Retail value of prize may vary depending upon the points of departure, ground transportation, and/or airline fare fluctuations; differences between stated retail value and final retail value will not be awarded. Airline tickets are valid only for travel on airline chosen by Sponsor in its sole discretion, will be issued only to Finalists, are not redeemable for cash, and are void if sold for cash or other consideration. Tickets are only valid for travel to the 2012 Vitrue School for the Socially Gifted Client Summit. Finalists are responsible for any air travel taxes and/or expenses, including applicable departure taxes or fees, inspection charges, and security charges. Once issued, tickets are nontransferable and may not be reissued once travel has commenced. Open tickets may not be issued and stopovers are not permitted. Travel arrangements must be made through Sponsor. Finalists must have valid travel documents (e.g., valid, government-issued, photo identification, passport, visa) prior to departure. Failure to fulfill any of these requirements or other travel requirements imposed by authoritative agencies and/or the airline or hotel, as applicable, will result in forfeiture of the travel prize. Sponsor shall have no responsibility or liability for cancellations, delays, or any other change by any company or person providing any element of prize due to reasons beyond Sponsors’ control, and are not responsible or liable for any expenses incurred as a consequence thereof. Travel may not be combined with any other offer. Except where prohibited, this does not exclude liability for death or personal injury caused by negligence, and all travel will be at the risk of Finalists. Hotel accommodations will be at Sponsor’s selection in its sole and absolute discretion.
PUBLICITY; INTELLECTUAL PROPERTY: Acceptance of a prize constitutes permission for Sponsor and its agencies to use winner’s name, likeness, biography, voice, photographs, videos, opinions, statements, and hometown and state for advertising and promotional purposes in any media whatsoever (including the internet) without additional compensation, unless prohibited by law. All Finalists agree to participate in the Finalist Videos (whether film, video, digital or otherwise) for use in final judging, and each grants to Sponsor any and all right, title and interest such Finalist may have in the Finalist Videos and the content therein, including all rights to Finalists’ name and/or likeness and any copyright, trademark, or other intellectual property right that would otherwise accrue to Finalist and waiver of moral rights. In the event that such interests cannot be so granted to Sponsor, each such Finalist grants to Sponsor a perpetual, royalty-free, irrevocable, world-wide and fully-transferable right (but not obligation) to use, modify, display, reproduce, make derivative works of, and otherwise exploit the Finalist Videos and the content therein for any reason or purpose whatsoever.
WAIVER AND INDEMNITY: Except where prohibited, by submitting an entry or accepting any prize, all Entrants expressly agree to forever defend, indemnify, hold harmless, waive, release, discharge, and covenant not to sue Sponsor or any Related Parties for and from any and all claims, debts, liabilities, demands, obligations, costs, fees, expenses, actions and causes of action whatsoever, of every nature, character and description, including reasonable attorneys’ fees and disbursements (collectively, “Claims”), known and unknown, including, but not limited to, all those arising out of or in any way related to the Contest; these Official Rules; Entrant’s entry; the negligence of Sponsor or the Related Parties; the acceptance, possession, misuse or use of any prize; any travel related to the Contest; or any participation in the Contest.
With respect to German residents, Sponsor shall be liable for intended and gross negligence and damages caused by injury to life, body or health. For other negligences, Sponsor shall be liable only for breaches of a material contractual obligation (cardinal duty). A “cardinal duty“ will be understood as an obligation whose fulfillment makes the implementation of the terms of these Official Rules possible and on the fulfillment of which Sponsor may therefore generally rely. Sponsor shall not be liable for any lack of commercial success, lost profits and indirect damages and liability shall be limited to typical, foreseeable damages. The limitation of liability shall apply mutatis mutandis to the benefit of the employees, agents and vicarious agents of Sponsor. Any potential liability on the part of Sponsor for any warranties and for claims based on the German Product Liability Act shall not be affected.
CALIFORNIA CIVIL CODE REPRESENTATION: By participating in the Contest, Entrant represents and warrants that he or she owns and/or has the authority to release the Claims stated herein expressly agrees to waive the provisions of Section 1542 of the California Civil Code, which provides: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.”
TYPOGRAPHICAL AND OTHER ERRORS: Illegible, incomplete, printed by machine or otherwise mechanically reproduced entries will not be accepted. Neither Sponsor nor the Related Parties are responsible for any lost, late, delayed, mutilated, illegible or misdirected entries, for any computer or technical malfunction, or for any typographical or other error in the printing of the offer, administration of the Contest or announcement of any prize winner. If a winner cannot be reached, if he/she is found to be ineligible, if he/she cannot or does not comply with these Official Rules, and/or if his/her prize notification is returned as undeliverable, that winner will be disqualified and an alternate winner may be selected from the remaining eligible Entrants.
GENERAL CONDITIONS. Sponsor reserves the right to require Entrants to complete, execute and deliver to Sponsor additional documents at any time as required, in the forms provided, and within the timeframe required by Sponsor, or the Entrant may be disqualified. Sponsor reserves the right to disqualify Entrants who have at the time of prize award ceased working for the employer at which they worked at the time of entry. Sponsor reserves the right, in its sole discretion, to terminate, modify or suspend the Contest if, in Sponsor’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contest, or if viruses, bugs, unauthorized intervention, fraud, technical difficulties, acts of God or failures or any other factor beyond Sponsor’s reasonable control corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest. In such event, Sponsor reserves the right in its sole discretion (but does not have any obligation) to award prizes to winners based on the above judging criteria from among eligible, non-suspect entries received up to the time of the suspected impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. In particular, Sponsor reserves the right to disqualify any Finalist if Sponsor has any reason to believe that anyone voting for such Finalist has been paid or otherwise incentivized in any way to place their vote, either by the Finalist or a third party. Any attempt by any person to deliberately damage or undermine the legitimate operation of the Contest is a violation of criminal and civil laws, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision or any other provision of these Official Rules.
GOVERNING LAW: Except where prohibited by law and unless the laws relevant for the domicile of an eligible Entrant provide otherwise, all issues concerning the construction, validity and enforcement of these Official Rules, or the rights and obligations of the Entrant and Sponsor, shall be construed and governed by the laws of the state of Georgia, without regard to conflicts of law. All suits or claims brought in connection with this Contest must be brought in a state or federal court sitting in Fulton County, Georgia.
WINNER’S LIST: For the name of all winners, available after January 23, 2013, write your name and complete address on a 3”x5” card and mail in a self-addressed, first-class stamped envelope to Winner Inquiry – Vitrue Community Manager of the Year Award 2012, 101 Marietta Street, Suite 1700, Atlanta, GA 30303. Requests must be received by February 23, 2013.
